TERMS AND CONDITIONS

Spotify Premium Membership Offer

(hereinafter referred to as the "T&C")

  1. GENERAL

1.1. The Promotion provided for by these T&C is conducted under the name: Spotify Premium Membership Offer(hereinafter referred to as the ‘Promotion’).

1.2. The Promotion is organized by: Xiaomi H.K. Limited, Suite 3209, 32/F, Tower 5, The Gateway, Harbour City, 15 Canton Road, Tsim Sha Tsui, Kowloon, Hong Kong, (hereinafter referred to as the "Organizer")

1.3. Participation is voluntary and free of charge, except for internet costs or any other connection costs.

1.4. The Promotion provides an opportunity to get limited free access to the Spotify Premium service (hereinafter referred to as the ‘Spotify Premium') under the terms and conditions specified in these T&C.

1.5. In case of any questions regarding the Promotion, the Beneficiary is requested to contact the following email address: support.global@support.mi.com.

1.6. By participating in the Promotion, the Beneficiary hereby accepts: (I) the T&C of the Promotion, as well as (II) the Terms and Conditions of the Organizer (https://www.mi.com/my/support/terms/spotify-premium-official) and (III) the Privacy Policy of the Organizer (https://privacy.mi.com/all/languages) (IV) Since this Promotion is a collaboration with Spotify, Beneficiary is also required to read and accept the Spotify terms and conditions (https://www.spotify.com/legal/premium-promotional-offer-terms)

1.7. The Promotion is in no way sponsored, endorsed, or administered by third-party social media platforms, including but not limited to X, Instagram, and Facebook, which may be used in connection with the Promotion. Beneficiary hereby acknowledges and agrees to the terms of use, service, or sale and policies of third parties whose platforms are used in connection with the Promotion.

  1. PLATFORM

2.1. The Promotion is open to Beneficiaries who access the website [https://www.mi.com/my/event/spotify-premium/] (hereinafter referred to as the ‘Webpage’) for the Beneficiaries residing in the following markets: France, Germany, Hong Kong, Indonesia, Japan, Malaysia, Mexico, Poland, Spain, Taiwan, Thailand, Turkey, and the United Kingdom.

  1. BENEFICIARY ELIGIBILITY

3.1. To participate in the Promotion, participant must be of legal age and possess the legal capacity as per the laws of both the country in which they are participating and their current place of residence during the Term of the Promotion. Additionally, they must have an active Mi Account and remain logged in while engaging in the Promotion (hereinafter referred to as the 'Beneficiary').

3.2. To participate in this Promotion, the Beneficiary must meet the following conditions:

3.3. Inaccurate or erroneous data provided by the Beneficiary will not be accepted in the Promotion. The Beneficiary must be able to prove, at the Organizer's request and within a reasonable period of time, that they are eligible to participate in the Promotion prior to participation and/or at any time during the duration of the Promotion. Otherwise, the Organizer may disqualify the Beneficiary at any time.

3.4. Excluded from the Promotion are persons cooperating with the Organizer (entities and employees of entities providing services to the Organizer in organizing the Promotion), employees and cooperators of the Organizer, as well as their descendants, ascendants, affinities, adoptees, members of their families and relatives (siblings, spouses, parents of spouses).

  1. TERM

Promotion is available only to the Beneficiary who purchases the Product and redeems the service before 8th August 2026. (hereinafter referred to as the 'Term of the Promotion’).

  1. PARTICIPATION MECHANISM

5.1. The Organizer offers to the Beneficiaries limited free access to the Spotify Premium Service for the period depending on the Product purchased by the Beneficiary.

5.2. Spotify Premium is available to Individual Plan subscribers, may not be combined with other Spotify Premium offers, and is limited to new users of Spotify Premium only. 5.3. The duration of the free access period varies depending on the product, which is set out as follows:

5.4. The Beneficiary may redeem Spotify Premium after one (1) day following the date of Product activation. 5.5. To redeem Spotify Premium offer on eligible smartphone product, the Beneficiary must request the Spotify Premium Service Link. The Beneficiary must log in to the IMEI Promotion page at [https://www.mi.com/my/imei-redemption] using their personal MI ID, and then complete the redemption form provided. Upon the Beneficiary's submission of the request for the Spotify Premium Service Link, Xiaomi will verify the Beneficiary's eligibility. After successful verification, Xiaomi will provide the Spotify Premium Service Link via the email address provided by the Beneficiary. Xiaomi shall not liable if the Beneficiary provides an incorrect email address and consequently does not receive the Spotify Premium Service Link.

5.6. Beneficiaries need to access the Spotify Premium Service through the provided link, which will direct them to the Spotify app. From there, they can locate the option to redeem the offer by following the on-screen instructions. 5.7. A valid form of payment is required at sign-up, but the Beneficiaries will not be charged until the Spotify Premium free access expires. No refunds for partial billing periods are available. Cancel anytime. Monthly subscription fee starts at the end of free access period.

5.8. The redemption of the Spotify Premium Service for eligible earbuds products is available through the Xiaomi Earbuds App, whereas the redemption of the Spotify Premium service for eligible watch products is available through the Mi Fitness App.

  1. PERSONAL DATA

6.1. Beneficiary in the Promotion agrees to provide their respective Organizer with the collection of the following personal data: Mi ID; IMEI/SN number of the device purchased; Email address.

6.2. These data shall be collected and processed by the Organizer to ensure the proper organization and management of the Promotion (i.e. delivery of the Spotify Premium Service).

6.3. The Organizer and its affiliated partner respect the Beneficiary’s privacy and undertake to protect it in accordance with their respective privacy policies and the applicable laws.

6.4. Personal data will be kept for the time necessary to guarantee the Beneficiary with the exercise of their rights and actions in relation to the Promotion. By providing the personal data, Beneficiary indicates that he/she has read, understood and agreed to be bound by the Privacy Policy stated at https://www.mi.com/my/about/privacy. The Beneficiary agrees that Organiser and/or its agent and/or its third-party service providers may contact them by telephone, email or such other method in connection with this Promotion.

6.5. By entering the Promotion, the Beneficiary agrees and provides consent to the Organizer to the use of any personal data as provided by the Beneficiary for the purpose of participation in this Promotion in line with the Personal Data Protection Act 2010, to the extent that any personal data provided shall only be processed and be used by Organizer for lawful purpose directly related to the running of this Promotion including but not limited to the purposes of promotional events, advertising, marketing and any administrative matters to facilitate the management and organizing of this Promotion.

7. COMPLAINTS

7.1. All complaints related to the Promotion can be submitted through the website https://www.mi.com/global/support/contact/.

7.2. The complaint will be considered within 14 days from the date of its receipt, based on the applicable laws and this T&C. However, the deadline may be extended in the event of reasons beyond the Organizer's control, about which the Beneficiary will be informed.

  1. LIABILITY AND REPRESENTATION

8.1 ORGANIZER’S REPRESENTATION

Unless otherwise expressly stated in this term, Organizer and its affiliated or third-party Organizers provide the Promotion on best effort basis only and exclude all warranties and conditions of any kind whether expressly or implied. In particular but without limitation, Organizer and its affiliated or third-party Organizers do not warrant or represent that:

(i) The Promotion is fit for any purpose or meets Beneficiary requirements or is provided without any errors or deficiencies or that the Promotion in compliance with any quality levels, as the case may be;

(ii) The Promotion is available to Beneficiary at any time and provided to Beneficiary without disruption, interruption or delay;

(iii) Any information (whether oral or written) obtained by Beneficiary from Organizer or as a result of Beneficiary taking part in the Promotion (including any materials or products) will be suitable, accurate, complete, or reliable; and

(iv) That any deficiencies in the Promotion, including any defects in performance, operation or functionality of the Promotion will be fixed, corrected or otherwise remedied.

8.2 ORGANIZER’S LIABILITY

Organizer is not liable to Beneficiary, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, in or out of the connection with the participation in the Promotion for:

(i) Any indirect, incidental, special or consequential damages;

(ii) Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect);

(iii) Any damage to and/or corruption or loss of data (whether direct or indirect);

(iv) Any changes, modifications, extensions or limitations (including any suspension of Beneficiary) in the Promotion;

(v) Access to Beneficiary account and account data or Beneficiary registration data taking part of the Promotion, or any permanent or temporary cessation in the terms or conditions of the Promotion (or any part of them).

In the term that Organizer is liable for a breach of these terms, Organizer liability shall be limited to damages which Organizer must typically expect at the time of the conclusion of these Terms due to the circumstances known at the time. Notwithstanding the above, such damages shall not be higher than 100 euros (or equivalent local currency).

Nothing in these Terms shall exclude or limit Organizer:

a) Liability for death, personal injury or fraud or in accordance with any product liability act; and

b) Warranty or liability for damages or losses which may not be lawfully excluded or limited by applicable law. If the laws in the Beneficiary jurisdiction do not allow the exclusion of certain warranties, terms or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages, only the limitations which are lawful in that jurisdiction will apply to the Beneficiary and Organizer’s liability and warranty will be limited to the maximum extent permitted by applicable law.

8.3 BENEFICIARY’S LIABILITY

Beneficiary is entirely responsible for any breach of the obligations under:

(i) These T&C;

(ii) Any applicable law or regulation in the relevant jurisdictions, including the jurisdiction where you are a resident or from where you are participating in the Promotion; and

(iii) And for the consequences of any such breach, including any loss or damage which Organizer or any third-party may incur or suffer. Organizer will have no responsibility to Beneficiary or to any third party in respect of such breach.

  1. EXPORT CONTROL

9.1. Upon participating the Promotion, the Beneficiary understands and agrees that:

The Promotion and the functions, services and goods provided through the Promotion are subject to the export controls and economic sanctions laws of multiple jurisdictions containing restrictions on destination, end user and end use, including but not limited to: (1) not to use of any functions, service or goods for any activities related to military end uses, support of terrorism, nuclear facilities, chemical or biological weapons, missiles, weapons of mass destruction, etc.; (2) comply with all export, re-export and resale restrictions applicable to the goods.

9.3.If Beneficiary's use of the functions and services being provided through the Promotion violates, or in our reasonable opinion may violate, the requirements and restrictions of relevant laws, resulting in a compliance risk or adverse impact on the Promotion, functions and services and supply of goods, the Organizer reserves the right to suspend, restrict or terminate the provisions of all or part of the goods and services.

  1. OTHERS

10.1. The content of these T&C is made available to the public on the Webpage and at the Organizer's headquarters.

10.2. Participation in the Promotion does not combine with other promotional actions and contests conducted by the Organizer.

10.3. These T&C are the only document setting out the detailed rules of the Promotion.

10.4. These T&C, which will be interpreted and applied in accordance with the laws of Malaysia, do not, however, exclude the application of the law applicable to the place where the Beneficiary resides if required by law.

10.5. The Organizer reserves the right to decide on the exclusion of a Beneficiary from the Promotion in case of violation of these T&C by a given Beneficiary, attempted fraud, as well as in case of any other conduct of the Beneficiary violating good manners, jeopardizing the good name of the Organizer, its reputation or interests. The excluded Beneficiary forfeits the right to apply for the Spotify Premium specified in these T&C.

10.6. For an important reason, the Organizer may make changes to these T&C. An important reason is in particular: (a) a change in generally applicable laws or their interpretation by authorized bodies, directly affecting the content of these T&C and resulting in the need to adjust these T&C to such change in laws or their interpretation; (b) the issuance of a ruling, decision or other similar act by a court or authorized public authority, directly affecting the content of these T&C and resulting in the need to amend these T&C to conform to such ruling, decision or other similar act; (c) the prevention of violations of these T&C or the prevention of abuse, as well as the removal of ambiguities or doubts of interpretation regarding the content of these T&C; (d) changes in the names, addresses or corporate data indicated in the content of these T&C; (e) the need to adapt the technical requirements indicated in these T&C to current standards.

10.7. The Organizer shall inform the Beneficiary of any change to these T&C no later than 7 (seven) days prior to the proposed effective date of the changes to the content of these T&C,

10.8. If an applicable law, ruling or other similar act of an authorized public authority requires the Organizer to amend these T&C within a shorter period of time than indicated in paragraph 10.7, the notification of amendment to these T&C shall indicate such shorter period of time, together with the reason.

10.9. The amended these T&C shall apply to the Beneficiary who does not resign from the Promotion before the effective date of the amendment to these T&C.

10.10. An amendment to these T&C shall not adversely affect the conditions of participation in the Promotion. The change of these T&C does not affect the rights acquired by the Beneficiary before the change of these T&C.
