Xiaomi Imagery Awards 2023 Supported By Leica TERMS AND CONDITIONS

1.COMPETITION ORGANIZATION AND ORGANIZER

The following terms and conditions (hereinafter, the “Terms” or “Rules”) regulate the rules for participating in the Xiaomi global skill competition called “Xiaomi Imagery Awards 2023 Supported By Leica” (hereinafter the "Competition"), which is organized:

For global station, by: Beijing Xiaomi Mobile Software Co., Ltd, with its registered office at: No.018, floor 8, building 6, yard 33, middle Xierqi Road, Haidian District, Beijing, China, 100085, and ID Registration number: 91110108551385082Q.

For regional station in Vietnam, by XIAOMI VIETNAM COMPANY LIMITED, with its registered office at: Suite 5 and suite 6, 13th floor, Saigon Center Building, Tower 1, No. 65, Le Loi Street, Ben Nghe Ward, District 1, Ho Chi Minh City, Vietnam

For regional station in Germany, Poland, by Xiaomi Technology Netherlands B.V., with its registered office at Prinses Beatrixlaan 582, The Hague 2595 BM, The Netherlands, with registration number 72954914.

(Hereinafter, the "Organizer")

The Competition will be accessible through the following links: https://event.mi.com/global/xiaomiImageryawards/

(Hereinafter, the "Competition Page").

Participation is voluntary and free of charge, except for internet costs or any other connection costs.

(Hereinafter the “Competition Contact”).

2.ACCEPTANCE OF THE COMPETITION’S RULES

By participating in the Competition, you are hereby accepting (i) the Competition’s present Rules as well as (ii) Xiaomi’s Terms of Use and Privacy Policy, which can be consulted on your local mi.com and Mi Community websites.

2.2 Third-Party Applicable Policies and Liability Disclaimer

(I) The Participants fully understand and acknowledge that the external social media platforms used in connection with the Competition - including but not limited to Facebook、X (Twitter)、Instagram、Threads、TikTok、YouTube、Xiaomi community, etc- DO NOT SPONSOR, ENDORSE OR ADMINISTER THIS COMPETITION AND THAT THEY SHOULD NOT BE ASSOCIATED WITH THE ORGANIZATION AND MANAGEMENT OF THE COMPETITION IN ANY WAY.

(ii) In addition, Participants acknowledge and hereby accept that the applicable terms of use and privacy policies of the above

-mentioned external social media platform and/or as any third party associated with the Competition shall also apply, in addition to the present Terms and policies.

3.PARTICIPANT’S ELIGIBILITY

In order to participate in the Competition, the Participant must have the legal age of the Territory from which he/she participates and have the legal capacity according to the applicable laws of its place of residence.

The Participant must have (i) a personal Mi Account or be validly registered on local Mi.com as well as (ii) a valid personnal email address, which will be necessary in order to contact the Winners and deliver the Prizes.

Besides, the Participants shall own a Xiaomi/Redmi smartphone (Poco mobile phones are not included) in order to be able to enter into the Competition.

(Hereinafter the “Participant(s)” or “You”).

Upon the Organizer’s request, Participant must be able to demonstrate at any time and, within a reasonable period, that he/she meets the necessary above-mentioned conditions to participate in the Competition.

The Organizer’s employees and/or their family members up to the second degree or any affiliates or company related to the organization or management of the Competition may not participate in the Competition.

Where Inaccurate or erroneous data are provided by the Participant, the Organizer reserves the right to reject or disqualify the Participant from the Competition and so without giving any reasons or notice.

4.TERM

4.1 Photo Section

The period for Competition at the global station and regional stations is as follows:

Participants can submit their entries from 26 September 2023 0:00 am(GMT+8) to 31 December 2023 23:59 pm(GMT+8).

The winner selection will start from 1 January 2024 (GMT+8) and the top 3 winners will be announced at the end of January of 2024.

4.2 Short Film Section

Participants can submit their personal information from 26 September 2023 (GMT+8) to 26 October 2023 (GMT+8).

Xiaomi MKT team will select 20 filmmakers from 27 October 2023(GMT+8) to 31 October 2023 (GMT+8).

The 20 selected filmmakers shall be announced on 31 October 2023 (GMT+8), and make short film videos from 1 November 2023 (GMT+8) to 31 December 2023(GMT+8).

The winner selection will start from 1 January 2024 (GMT+8) and the top 3 winners will be announced at the end of January of 2024.

5.PARTICIPATION MECHANISM

5.1 General Provision of the Competition

The “Xiaomi Imagery Awards 2023 Supported By Leica” is a photography and filming skill Competition for all users around the world. This Competition is divided into two parts, photo section and short film section.

Participants are welcome to upload their photos and films taken with Xiaomi mobile phones/Redmi mobile phones, Poco phones are not included (hereinafter the “Entry(s)”).

The theme labels of this Competition are set as follows: 1. Fleeting moment; 2. Portrait; 3. Passion; 4. Anticipation; 5. Growth; 6. Playful; 7. Celebration; 8. Local; 9. Non-human life; 10. On the road (hereinafter the ”Theme label(s)”).

During the Competition for photo section and short film section, there will be two (2) different selection procedures with distinct timeline:

  1. First selection stage – Xiaomi Marketing team selection stage.
  2. Second selection stage - The Juror’s Choice. The Competition is available at https://event.mi.com/global/xiaomiImageryawards/. The Xiaomi team and jurors will select the best photos and films for each section and award prizes.

5.2 Photo Section

For photo section, it includes the global station and regional stations (Germany/ Vietnam/ Poland/ Turkey). Participants need to choose a site for participation and upload photos on Competition Page.

Please select your region carefully as it cannot be changed once submitted. Make sure you are a resident of the chosen region or you will be disqualified from winning the prize.

Participants shall choose "Global" if you are not a resident of these countries (Germany/ Vietnam/ Poland/ Turkey)

For Turkey, the Competition mechanism is different with global station and regional station (Germany/ Vietnam/ Poland). Please click in https://event.mi.com/tr/xiaomiImageryawards/ to participate in Turkey Competition.

5.2.1 Eligible photos

To be eligible, the Photo(s) shall be original work and shall match the Competition’s theme labels and the slogan “Your vision, your story”, illustrating the photograhpy technical skills of the Participants

Moreover the Photos shall meet the following requirements:

5.2.2 How to upload the photos

The Participants need to sucesfully upload the Photos on the Competition Page. Participants shall choose more than one (1) of the theme labels and fill in the photo informtation including the photo with EXIF information, the Participant’s email and nickname/name, the title and description of uploaded photo. Once uploaded, the Photos will be displayed on the Competition Page.

Please be aware that each Participant’s entry will be reviewed after submission. The Organizer reserves the right to display publically some of the Photos which comply with all the requirements on the Competition Page.

The Organizer shall have the right to reject: (i) Participants whose data are false or incomplete; (ii) Participants who contravene the applicable regulations; (iii) Participants whose Content is not original or infringe the intellectual property of third parties.

5.3 Short Film Section

For short film section, there is only the global station for participation.

5.3.1 Initial selection

Participants shall submit their personal information including name, gender, age range (from 21), country, link of your portfolio, email. Besides, Participants need to select 2 or above labels and provide a brief explanation of the film plot you plan to take.

The Xiaomi Marketing Team will select 20 filmmakers to make short videos based on the above information and criteria set in Article 6.2.

5.3.2 Eligible videos

-Film(s) must both be taken and edited only with Xiaomi mobile phones (Mi and Redmi), although third-party processing software is allowed.

5.4 How to upload the videos

The Participants need to successfully upload the videos via email or google drive in zip format. Participants shall choose more than two (2) of the theme labels and fill in the video information. Participants are required to provide the title and description of the video.

Please be aware that each Participant’s entry will be reviewed after submission. The Organizer reserves the right to display publically some of the Photos which comply with all the requirements on the Competition Page.

The Organizer shall have the right to reject: (i) Participants whose data are false or incomplete; (ii) Participants who contravene the applicable regulations; (iii) Participants whose Content is not original or infringe the intellectual property of third parties.

6. WINNERS SELECTION PROCEDURE

6.1Photo Section

6.1.1 Global competition

6.1.1.1First round photo selection– Xiaomi Marketing Team Selection Stage

All the Photo(s) displayed on the Competition Page will go through the first round of selection which will be carried out by Xiaomi Marketing Team.

The Xiaomi Marketing Team selection period will start on January 1, 2024.

The Xiaomi Marketing Team will select a total of fifty (50) Photo(s) based on the criteria and the respective score as described above from the Photos uploaded on the Competition Page.

The selected 50 Photo(s), will automatically enter into the second selection stage.

For photos with good quality, they will be displayed on the Competition Page.

6.1.1.2Second round photo selection – The Juror’s Choice

A group of 3 Jurors who are professional photographers, will select a total of three (3) Photos from the 50 Photos selected on the first selection stage by the Xiaomi Marketing Team.

The Jurors selection period will start after the end of first round photo selection.

The Winners selection on both stages will be based on the following criteria:

6.2 Regional competition

The mechanism for participating the Competition is the same between global station and regional station. The prize and jury differ as follows.

6.3 Short Film Section

6.3.1First round short film selection– Xiaomi Marketing Team Selection Stage

The first round selection will start on from 27 October 2023(GMT+8) based on the following criteria:

20 filmmakers will be announced on 31 October 2023 (MGT+8).

6.3.2 Second round short film selection – The Juror’s Choice

A professional director will be the juror and will select a total of three (3) films from the 20 videos which are produced by 20 candidates who got into the second round on 1 January 2024 (GMT+8).

The Winners selection will be based on the following criteria:

7.WINNERS ANNOUNCEMENT

7.1 Photo Section

The 50 winners in the first round will be published on Social Media (Facebook, X(Twitter), Instagram, threads, TikTok, YouTube) and Xiaomi Community at the end of January. The published information includes their entries, name/nickname, country.

The top 3 winners in the second round will be published on the Competition Page as well. The published information includes their entries, name/nickname, country, Mi ID.

Participants have the right to reject to publish their name and/or country.

7.2 Short Film Section

The 20 filmmakers in the first round will be published on the Social Media (Facebook, X(Twitter), Instagram, threads, TikTok, YouTube) and Xiaomi Community on October 31 2023 (GMT+8).

The top 3 winners in the second round will be published on the Competition Page as well at the end of January.

The published information includes winner’s entries, name, country and Mi ID.

The Organizer will contact the Winners by e-mail or by phone (if preferred by Participants) in order to confirm their contact information and to ensure the delivery of the Prizes.

The Winners should reply to the Organizer and confirm or provide the requested information (necessary to ensure the proper delivery of the Prize) within ten (10) days following the Winners announcement, otherwise they may lose their titles of Winners and corresponding Prizes In that event, the Organizer reserves the right to use the Prize at its own discretion for other purposes in relation with the Competition.

The Prizes will be sent by post to the address confirmed by the Winner(s) within thirty (30) days following the announcement.

Xiaomi Studios is a filmmaking initiative created by Xiaomi Global. With Xiaomi Studios, we aim to build on our company’s mission of “Innovation for Everyone” and provide fans an opportunity to unleash their inner creativity with the Xiaomi phone in their pocket: “Creativity for Everyone”. Xiaomi Studios is a platform for a community for people around the world looking to unleash their creativity with their Xiaomi phones.

The champion of Short Film Section will also have an opportunity to participate in the ”Xiaomi Studios” project where he/she will be provided with a time-limited ” Agreement of Xiaomi Studios” (“Agreement”) for cooperation . As part of the program, the champion will have the opportunity to shoot the film which will be featured in future Xiaomi’s own channels and platforms including but not limited to social media posts, landing page features, etc. The Organizer shall provide any complementary information to the champion in due time.

8.1 Prize Terms and Conditions

The Prizes which consist in products are not exchangeable in cash and all the Prizes will be subject, if applicable, to the corresponding tax and withholdings. The winners should ensure that they comply with all the applicable tax law and regulation regarding to the prizes

The Organizer reserves the right, on his own discretion, to substitute the Prize for another of equal value or characteristics, always informing of this circumstance in its media.

The Prizes are personal and non-transferable. For Participants in regional station, they have chance to get prizes in both regional station and global station.

If any personal or objective reasons (such as the unavailability due to personal arrangement, transportation, visa application and personal schedule) occur, the chance of attending the 2024 offline launch tour will be considered invalid, and the Organizer will not offer gifts/ coupons/ cash in other means.

9.INTELLECTUAL PROPERTY AND IMAGE RIGHTS

9.1 ASSIGNMENT OF PARTICIPANTS ITNTELLECTUAL PROPERTY RIGHTS

By participating in the Competition, Participants authorize the Organizer (WHICH EXPRESSION SHALL BE UNDERSTOOD AS INCLUDING XIAOMI GROUP COMPANIES, PARENT COMPANIES OR SUBSIDIARIES, AFFILIATES, SUCCESSORS AND ASSIGNS) AND ITS AFFILIATED PARTNERS, to exploit, commercialize and make available to the public – all within the statutory limits - directly or through its Web and/or its Social Networks, the Photo(s) CREATED in connection with the Competition and use the PHOTO(s) for commercial and/or advertising purposes.

The afore-mentioned authorization is granted on an exclusive and irrevocable basis; in the broadest possible form in law; without any form of remuneration/compensation; for the whole world; for the whole legal life of the rights up to their passage into the public domain; with the capacity to assign to third parties. This authorization will also cover all exploitation rights, including the rights of disclosure and publication, fixation, reproduction, distribution, public communication and making available to the public, the right of transformation and collection right that may correspond to the Photo(s) or the work derived from it, as well as industrial property rights and any other rights that may be derived from the Photo(s) and/or its elements.

9.2 NON INFRINGMENT OF THIRD PARTY’S RIGHTS

The Participants warrant that the photos they submit DURING the Competition IS their OWN ORIGINAL WORK AND/OR THAT THEY HOLD ALL NECESSARY RIGHTS.

The Participant is fully and exclusively responsible for the content of he/she incorporates IN THE PHOTO(s) and for the Photo(s) she/he uploads or communicates through the COMPETITION page. The Organizer will not be responsible for any infractions and/or violations by the Participant in connection with this Competition.

9.3 AUTHORISATION**OF PARTICIPANT IMAGE RIGHT

PARTICIPANTS IRREVOCABLY GRANT TO THE ORGANIZER (WHICH EXPRESSION SHALL BE UNDERSTOOD AS INCLUDING XIAOMI GROUP COMPANIES, PARENT COMPANIES OR SUBSIDIARIES, AFFILIATES, SUCCESSORS AND ASSIGNS) AND ITS AFFILIATED PARTNERS, THE RIGHT TO USE THE PARTICIPANT’S IMAGE AND NAME IN ALL FORMS AND MEDIA INCLUDING COMPOSITE OR MODIFIED REPRESENTATION INCLUDING ADVERTISING, OR ANY COMMERCIAL PURPOSE IN CONNECTION WITH THE COMPETITION THROUGHOUT THE WORLD AND IN PERPETUITY WITHOUT ANY COMPENSATION.

PARTICIPANTS MOREOVER RELEASE THE ORGANIZER AND ITS PARTNERS FROM ANY CLAIMS THAT MAY ARISE REGARDING THE USE OF THEIR IMAGE, INCLUDING ANY CLAIMS OF DEFAMATION, INVASION OF PRIVACY, OR INFRINGEMENT OF MORAL RIGHTS, RIGHTS OF PUBLICITY, OR COPYRIGHT.

10.PERSONAL DATA

Participant in the Competition agree to provide their respective Organizer with the collection of the following personal data:

These data shall be collected and processed by the Organizer to ensure the proper organization and management of the Competition i.e. delivery of the Prize.

The Organizer and its affiliated partner respect the Participant’s privacy and undertake to protect it in accordance with their respective privacy policies and the applicable laws.

Personal data will be kept for the time necessary to guarantee the Participant with the exercise of their rights and actions in relation to the Competition.

By entering the Activity, you hereby consent that the above Personal data will be collected by us. We will collect, use, disclose, process and protect your personal information according to our privacy policy. You can follow the link below to learn more about our privacy policy as specified in section 2.

11 LIABILITY AND REPRESENTATION

11.1 ORGANIZER’S REPRESENTATION

Unless otherwise expressly stated in this term, Organizer and its affiliated or third-party Organizers provide the Competition on best effort basis only and exclude all warranties and conditions of any kind whether expressly or implied. In particular but without limitation, Organizer and its affiliated or third-party Organizers do not warrant or represent that:

(i) The Competition is fit for any purpose or meet Participant requirements or is provided without any errors or deficiencies or that the Competition in compliance with any quality levels, as the case may be;

(ii) The Competition is available to Participant at any time and provided to Participant without disruption, interruption or delay;

(iii) Any information (whether oral or written) obtained by Participant from Organizer or as a result of Participant taking part in the Competition (including any materials or products) will be suitable, accurate, complete, or reliable; and

(iv) That any deficiencies in the Competition, including any defects in performance, operation or functionality of the Competition will be fixed, corrected or otherwise remedied.

11.2 ORGANIZER’S LIABILITY

Organizer is not liable to Participant, regardless of the legal grounds, in particular whether in contract, tort (including negligence) or any theory of liability, in or out of the connection with the participation in the Competition for:

(i) Any indirect, incidental, special or consequential damages;

(ii) Any loss of income, business, actual or anticipated profits, opportunity, goodwill or reputation (whether direct or indirect);

(iii) Any damage to and/or corruption or loss of data (whether direct or indirect);

(iv) Any changes, modifications, extensions or limitations (including any suspension of Participant) in the Competition;

(v) Access to Participant account and account data or Participant registration data taking part of the Competition, or any permanent or temporary cessation in the terms or conditions of the Competition (or any part of them).

In the term that Organizer is liable for a breach of these terms, Organizer liability shall be limited to damages which Organizer must typically expect at the time of the conclusion of these Terms due to the circumstances known at the time. Notwithstanding the above, such damages shall not be higher than 100 euros (or equivalent local currency).

Nothing in these Terms shall exclude or limit Organizer:

a) Liability for death, personal injury or fraud or in accordance with any product liability act; and

b) Warranty or liability for damages or losses which may not be lawfully excluded or limited by applicable law. If the laws in the Participant jurisdiction do not allow the exclusion of certain warranties, terms or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages, only the limitations which are lawful in that jurisdiction will apply to the Participant and Organizer’s liability and warranty will be limited to the maximum extent permitted by applicable law.

11.3 PARTICIPANT’s LIABILITY

Participant is entirely responsible for any breach of the obligations under:

(i) These Terms; and

(ii) Any applicable law or regulation in the relevant jurisdictions, including the jurisdiction where you are a resident or from where you are participating in the Competition.

(iii) And for the consequences of any such breach, including any loss or damage which Organizer or any third-party may incur or suffer. Organizer will have no responsibility to Participant or to any third party in respect of such breach.

12.Export Control

Upon participating the Competition, the Participant understands and agrees that:

The Competition and the functions, services and goods provided through the Competition are subject to the export controls and economic sanctions laws of multiple jurisdictions containing restrictions on destination, end user and end use, including but not limited to: (1) not to use of any functions, service or goods for any activities related to military end uses, support of terrorism, nuclear facilities, chemical or biological weapons, missiles, weapons of mass destruction, etc.; (2) comply with all export, re-export and resale restrictions applicable to the goods.

If Participant's use of the functions and services being provided through the Competition violates, or in our reasonable opinion may violate, the requirements and restrictions of relevant laws, resulting in a compliance risk or adverse impact on the Competition, functions and services and supply of goods, the Organizer reserves the right to suspend, restrict or terminate the provisions of all or part of the goods and services.

13.LEGISLATION AND APPLICABLE JURISDICTION

Participation in the Competition will be governed by the Terms, which will be interpreted and applied in accordance with the laws of the Organizer.

The Participant have the option of filing claims at a competent court in the country in which they are resident.
